Franchise / privilege tax
Florida does not impose a separate statewide LLC franchise tax analogous to California’s $800 or Delaware’s $400. You still have federal (and any applicable Florida income/sales) tax obligations.
Registered agent
A Florida registered agent with a street address in the state is required; the $25 designation fee is paid at formation. Commercial agent service fees (if you hire a company) are separate.
Publication requirement
None for Florida LLCs.
Expedite fees
Sunbiz online filing is the standard path; confirm current processing notes on dos.fl.gov/sunbiz.
First-year cost estimate
For an LLC formed mid-year, the first annual report is typically due the following calendar year — so calendar-year-1 state SOS spend is often just formation.
| Approach | Rough first calendar year | Year 2 (adds annual report) |
|---|---|---|
| DIY state fees | ~$125 | +$138.75 |
| DIY + commercial RA | ~$225–$425 | ongoing agent + report |
| With formation service | $125 + service package | same ongoing state fees |
